CONSENT

ON OR ABOUT September 17, 2018, the Superintendent of Financial Services issued a Notice of Intended Decision in respect to the application of the SEPP filed on March 2, 2018, with additional materials submitted on July 17, 2018, and December 19, 2018, to consent, pursuant to section 80.4 of the PBA,to the conversion and transfer of assets from the SEPP to OMERS, subject to the filing of the amendments to the SEPP and OMERS under section 12 of the PBA.

THE AMENDMENT to OMERS consists of the amended text of the SEPP as a document that supports the benefits payable from OMERS, and was filed under section 12 of the PBA on December 19, 2018. The amendment to the SEPP was filed under section 12 of the PBA on December 19, 2018.

NO REQUEST FOR HEARING was delivered to the Financial Services Tribunal by the Applicant or any other person within the time prescribed by section 89(6) of the PBA.

THE SUPERINTENDENT OF FINANCIAL SERVICES THEREFORE CONSENTS to the conversion and transfer of assets from the SEPP to OMERS, for the reasons set out in the Notice of Intended Decision.
